Tata Sons Gives Cyrus Mistry Two Working Days To Return Confidential Documents

The act of removing confidential information is punishable by law, Tata Sons says.

Tata Sons Ltd. has asked ousted chairman, Cyrus Mistry, to return all confidential documents that came into his possession, in his capacity as executive chairman and director of various group companies. The company, in its second legal notice to Mistry on Thursday, asked him to return all such documents within two working days.

The first legal notice to Mistry was sent on Tuesday, in which Tata Sons accused him of making public confidential and sensitive information through a petition filed by two Mistry-controlled firms before the National Company Law Tribunal. The petition had email exchanges and minutes of board meetings as exhibits.

In the latest notice, Tata Sons has alleged that Mistry has wrongfully removed confidential documents from the company's premises without appropriate consent, and disclosed it to other parties without authorisation. The act of removal of these documents is “punishable by law”, as per the notice.

We have credible information that you have wrongfully and dishonestly taken movable property being confidential information, out of the possession of the company, from the premises of the company, without taking the appropriate consent of the company. Please note that the act of removal of confidential information from the premises of the company without consent of the company is an offence punishable by law.
Tata Sons’ Legal Notice On December 29

Mistry has been asked to "cease any and all use or disclosure of confidential information". Tata Sons has also sought a written confirmation from Mistry that none of the information in question has been disclosed to Cyrus Investments Pvt Ltd., Sterling Investment Corporation Ltd., Shapoorji Pallonji Group Companies, Afcon, family members, friends and other affiliates.

A statement issued by Mistry’s office in response to the Tata Sons’ notice said, “Neither will we comment in public nor will we provide our correspondence to the media to make news. We will keep focus on the real and core issues in the relevant forums alone. That their letters claiming confidentiality have been widely circulated to the media is ironical. We believe such conduct is unbecoming and interferes with justice administration.”
